Terms of service
Terms of Service. Built for Better B2B.
Clear business creates stronger partnerships. These Terms explain how SHE EDGE’s wholesale website, quotations, orders, payments, stock, delivery and after-sales support work for professional buyers.
01Wholesale buyers only
Our commercial service is for boutiques, retailers, wholesalers, distributors, stockists, online sellers and other buyers purchasing for resale or business use.
02Confirmation makes it real
Catalogue content and conversations are invitations to enquire. An order becomes binding when SHE EDGE accepts it in writing and the required payment terms are met.
03Final sale, with fair claims
Confirmed wholesale sales are final. Verified damage or fulfilment issues must be claimed within 10 calendar days under our Refund Policy.

A quotation, invoice or signed agreement may contain transaction-specific terms. Those specific written terms take priority where they differ.
Fashion-forward stock. Commercially clear terms.
Our goal is simple: help serious fashion businesses buy with confidence. These Terms protect that relationship by making authority, pricing, fulfilment, claims and responsibilities clear from the beginning.
Agreement and B2B scope
This website is operated by SHE EDGE. In these Terms of Service, “SHE EDGE,” “we,” “us” and “our” refer to SHE EDGE, while “Buyer,” “you” and “your” refer to the business, organization or commercial purchaser using our website, requesting a quotation or buying stock directly from us.
These Terms apply to use of sheedge.com and to B2B enquiries or transactions conducted through the website, our wholesale display outlet, email, WhatsApp, telephone or another agreed channel. By using the website, confirming an order, paying a deposit or invoice, collecting goods, accepting delivery or otherwise proceeding with a transaction, you agree to these Terms and the policies incorporated below.
Our commercial service is intended for boutiques, retailers, wholesalers, distributors, stockists, resellers, online and social sellers, mall or shop operators, institutional buyers, trading businesses and other buyers purchasing stock for resale or legitimate business use. SHE EDGE does not make direct retail sales to consumers.
Business eligibility and authority
You represent that you are at least 18 years old, have legal capacity to enter a contract and, where acting for a company, partnership, shop or another business, have authority to bind that business. We may request reasonable business, identity, address, tax, resale or payment verification before opening an account, issuing special pricing, accepting an order or releasing stock.
You must provide current, complete and accurate information, including your business name, contact person, telephone number, email, billing details and delivery address. You are responsible for activity conducted through your account or by people you authorize and must notify us promptly if account or contact details are compromised.
We may refuse, limit, suspend or close a B2B account or transaction where information cannot be verified, payment risk exists, misuse is suspected, stock is unavailable, a prior obligation remains unpaid or continuing service would conflict with law or legitimate business interests.
Catalogue, quotations and order acceptance
Website listings, product images, collection previews, price indications, WhatsApp broadcasts and other promotional material are provided for catalogue and enquiry purposes. They do not guarantee stock, reserve quantities or create a binding offer.
Your purchase order, message, cart submission or request to reserve stock is an offer to buy. An order becomes binding only when SHE EDGE accepts it through a written order confirmation, invoice, proforma invoice or another clear written acceptance and you satisfy any required deposit or payment condition.
- We may accept or reject an order, limit quantities, require minimum quantities or assortment rules, or request further verification.
- Stock is not reserved merely because it was discussed, placed in a cart, added to an invoice draft or shown as available.
- A quotation remains valid only for the period stated in it. If no validity period is stated, price and availability remain subject to confirmation.
- We may correct an obvious pricing, calculation, product, quantity or availability error before fulfilment and will communicate any material correction.
If a signed agreement or transaction-specific written term conflicts with these Terms, that specific written term controls that transaction to the extent of the conflict. The remaining provisions continue to apply.
B2B pricing, taxes and payment
SHE EDGE wholesale pricing may vary by article, quantity, size mix, assortment, season, stock position, customization, delivery arrangement and buyer relationship. A public or previously quoted price does not guarantee the same price for another order, buyer or date.
Prices are exclusive of delivery, insurance, duties, taxes, bank charges, currency-conversion costs and other transaction expenses unless the applicable written quotation or invoice expressly includes them. The Buyer is responsible for charges allocated to it under the invoice, delivery term and applicable law.
Payment must be made in the currency, amount, method and timeframe shown in the applicable quotation or invoice. Funds are treated as paid when cleared and received in the account or payment channel authorized by SHE EDGE. The Buyer must verify payment instructions through an established SHE EDGE contact before sending funds and should never rely on an unexplained change of bank details.
Confirmed means committed.
Once an order is confirmed, paid, allocated, picked, packed, customized, placed into production or otherwise acted upon, it cannot be cancelled unless SHE EDGE agrees in writing. Deposits, advances and amounts committed to custom or specially arranged stock are non-refundable except where written transaction terms expressly provide otherwise.
Buyers must not make an unauthorized deduction, set-off, chargeback or payment reversal. A disputed amount does not suspend payment for undisputed stock. We may pause allocation, production, dispatch or future orders while any amount is overdue or under verification and reserve all contractual and legal recovery rights.
Stock allocation, production and customization
Fashion stock moves quickly. Availability, colours, sizes and quantities may change before written confirmation and required payment. We may fulfil an accepted order in one or more lots, substitute packaging, or propose a commercially comparable article only with the Buyer’s agreement where a material substitution is involved.
Production, replenishment and dispatch dates are estimates unless expressly guaranteed in a signed written agreement. For customized, altered, private-label, special-production or buyer-approved products:
- the Buyer is responsible for checking and approving artwork, spelling, colours, placements, measurements, specifications and samples before production;
- an approval authorizes production and normally cannot be withdrawn;
- later changes may affect price, quantity, material availability and lead time and require written acceptance by SHE EDGE; and
- reasonable production, handcrafted, embroidery, print, dye-lot and measurement tolerances may occur.
Custom, clearance, sample, seconds, altered, specially sourced and specially produced stock is final sale unless an express written term for that transaction states otherwise.
Collection, delivery, title and risk
The Buyer must provide accurate delivery information, nominate an authorized receiver and ensure timely collection or acceptance. Delivery and dispatch dates are good-faith estimates unless a written agreement expressly makes a date binding.
Unless the invoice or an agreed delivery term states otherwise, risk passes to the Buyer when stock is collected from SHE EDGE or handed to the courier, transporter, freight forwarder or other carrier selected or arranged for the Buyer. Title to unpaid stock remains with SHE EDGE to the extent permitted by law until all amounts due for that stock are received in cleared funds.
The Buyer is responsible for destination access, receiving arrangements, unloading, local permits, duties, taxes and customs formalities allocated to it. If delivery is delayed or fails because of inaccurate details, absence, refusal, customs action or another Buyer-controlled issue, reasonable storage, redelivery or return costs may be charged to the Buyer.
Inspection, damage claims and strict final sale
The Buyer must inspect stock promptly for quantity, article, colour, size, labels, packaging, stitching, embroidery, embellishment and physical condition. A complete claim for damaged stock, a material manufacturing fault, an incorrect item or a quantity discrepancy must be received within 10 calendar days after the purchase date shown on the SHE EDGE invoice or receipt.
Except for an approved claim or a right that cannot lawfully be excluded, all confirmed SHE EDGE B2B sales are final: no return, no exchange, no cancellation and no refund. Change of mind, ordering error, slow sales, unsold stock, customer preference, seasonal change, assortment choice, sizing choice or lower-than-expected margin does not qualify.
Claims must include invoice details, affected article and quantity, a clear description, photographs and video where relevant. No stock may be returned without prior written authorization. Eligibility, exclusions, evidence requirements and available resolutions are set out in our Refund, Returns & Damage Claims Policy, which forms part of these Terms.
Resale and end-customer responsibilities
The Buyer operates as an independent business. Nothing in these Terms creates an employment, agency, franchise, partnership, joint venture or exclusive-distribution relationship, and the Buyer has no authority to bind SHE EDGE or make commitments on our behalf.
The Buyer is responsible for its own retail prices, listings, advertising, taxes, customer service, delivery promises, end-customer policies and compliance with laws applicable to its sales territory. The Buyer must not make false product claims, alter labels deceptively, misrepresent itself as SHE EDGE, suggest an unauthorized exclusive appointment or sell counterfeit or unlawfully modified goods.
Retail customers must contact their point of purchase.
If a consumer bought a SHE EDGE outfit from a boutique, shop, mall, reseller, social seller, marketplace or another online business, that independent seller processed the transaction. The seller’s policy and the law applicable to that retail sale govern any return, exchange, refund, cancellation or delivery request.
SHE EDGE cannot refund money it did not collect, reverse an independent seller’s transaction or override that seller’s policy. Where a consumer reports a possible manufacturing issue, the seller should assess it and may then raise an eligible B2B claim with SHE EDGE.
Product information and website accuracy
We work to present products, collections, colours, measurements, descriptions, stock and pricing accurately. However, screen settings, photography, lighting, fabric texture, print placement, dye lots, embroidery, embellishment and handcrafted details can create reasonable differences between an image, sample and production piece.
Measurements and weights are approximate unless expressly guaranteed. Minor variations within normal fashion-production tolerance are not automatically defects. Buyers should request any information that is commercially critical before confirming an order.
Website content may occasionally contain an error, omission or outdated detail. We may correct information, update descriptions, change or discontinue products, and revise availability or pricing. If a material error affects an accepted but unfulfilled order, we will contact the Buyer with a reasonable correction, alternative or cancellation resolution.
SHE EDGE brand and intellectual property
The SHE EDGE name, logos, website, catalogue, photography, videos, designs, graphics, text, layouts, collection names and other original brand material are owned by or licensed to SHE EDGE and are protected by applicable intellectual-property law.
You may browse the website and use product information for legitimate purchasing decisions. You may not copy, scrape, reproduce, republish, modify, sell, license, remove watermarks from or commercially exploit our content without written permission.
A Buyer may use official product assets that SHE EDGE specifically provides or approves for resale marketing, solely to promote genuine SHE EDGE stock purchased through an authorized transaction and subject to any brand instructions. That limited permission is non-exclusive, non-transferable and may be withdrawn. It does not permit registration of our marks, creation of confusing domains or handles, or presentation as an official SHE EDGE account, branch, franchise or exclusive distributor without a separate written appointment.
Acceptable website use and third-party services
You must not use the website or our communication channels to break the law, infringe rights, impersonate another person or business, submit false information, distribute malware, interfere with security, harvest personal data, send spam, conduct unauthorized automated scraping or disrupt the service.
We may suspend access, block activity or refuse service where misuse, fraud, security risk or a breach of these Terms is reasonably suspected. Obligations and liabilities arising before suspension or termination continue where their nature requires.
The website may use or link to third-party services such as Shopify, payment providers, couriers, maps, WhatsApp and social platforms. Their services are governed by their own terms and privacy practices. SHE EDGE is not responsible for independent third-party content or systems, but this does not limit responsibility that cannot lawfully be excluded.
Privacy and electronic communications
Our collection and use of personal information is described in the SHE EDGE Privacy Policy. By contacting us or using the website, you acknowledge that operational messages may be sent by email, telephone or WhatsApp about enquiries, quotations, payments, stock, delivery, claims and account support.
You agree that electronic records—including accepted quotations, invoices, payment confirmations, emails and WhatsApp messages—may evidence communications, approvals and transactions to the extent permitted by law. Marketing messages are handled according to applicable consent and opt-out requirements; opting out of marketing does not prevent necessary transaction or service communications.
If you submit a review, testimonial or other content for publication, you confirm that you have the necessary rights and that it is accurate and lawful. Any public-use permission, campaign deliverable or influencer collaboration remains subject to its specific written arrangement.
Warranties, liability and indemnity
The website and its general information are provided on an “as available” basis. We do not promise uninterrupted access, error-free operation or that general website content will satisfy every Buyer’s commercial purpose. Product and transaction obligations are those expressly stated in the accepted written order terms and any rights that cannot lawfully be excluded.
To the fullest extent permitted by law, SHE EDGE is not liable for indirect, incidental, special, punitive or consequential loss, including lost profit, lost sales, anticipated margin, lost opportunity, reputation loss, customer compensation or loss arising from the Buyer’s resale decisions. Where liability cannot be excluded, SHE EDGE’s aggregate liability arising from a particular order will not exceed the amount actually paid to SHE EDGE for the specific affected stock giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct or another non-excludable obligation. The Buyer remains responsible for taking reasonable steps to reduce avoidable loss.
The Buyer will indemnify SHE EDGE and its personnel against a third-party claim, loss or reasonable cost arising from the Buyer’s unlawful resale activity, false representation, unauthorized brand use, breach of these Terms or infringement of another person’s rights, except to the extent caused by SHE EDGE’s own breach or non-excludable fault.
Events beyond reasonable control
SHE EDGE is not responsible for delay or failure caused by events beyond reasonable control, including natural disaster, flood, fire, epidemic, war, civil disturbance, government action, customs hold, transport disruption, labour interruption, utility or internet failure, machinery breakdown, supplier failure or shortage of fabric, trim or other material.
We will take reasonable steps to manage the impact and communicate a material delay. Affected obligations are suspended for the duration of the event. Where performance becomes commercially impracticable for an extended period, the parties may agree revised timing, a reasonable alternative or cancellation of the unperformed portion, with treatment of committed and recoverable costs determined by the transaction terms and applicable law.
General legal terms and governing law
Entire agreement
These Terms, incorporated policies and accepted transaction documents form the agreement for the relevant service or order and replace earlier general discussions on the same subject.
No waiver
A delay or failure to enforce a right is not a waiver. A goodwill exception applies only to that case and does not create a future entitlement.
Severability
If a provision is found invalid or unenforceable, it will be adjusted or severed only as necessary, and the remaining provisions continue.
Assignment
The Buyer may not transfer an order, account or rights without written consent. SHE EDGE may assign rights or obligations as part of a lawful business transfer or restructuring.
These Terms and related transactions are governed by the laws of Pakistan. The courts of Lahore, Pakistan will have jurisdiction over disputes, unless a mandatory law requires another forum. The parties should first try in good faith to resolve a dispute through written business communication.
Changes, questions and contact
We may update these Terms to reflect changes in our website, wholesale operations, payment methods, fulfilment, policies or applicable requirements. The current version will be published here with its effective or last-updated date. Changes apply prospectively unless law or an express written agreement requires otherwise.
An accepted order remains subject to the Terms and written commercial documents applicable when it was confirmed, unless the parties agree to a change in writing. If you do not accept an updated version, stop using the website and do not place a new order.
